\u201cAgreement\u201d) becomes effective upon your click of the &#8220;I accept&#8221; button.<br \/>\nBETWEEN:<br \/>\nHiiT PLC: A company organized under the laws of the Federal Republic of Nigeria, with its head office in Abuja.<br \/>\nReferral: An individual or entity, details provided in the HSIWES+ Referral Marketing Form.<br \/>\nIn consideration of the terms and covenants herein, the parties agree as follows:<br \/>\nRECITALS<br \/>\n1. The referral program is named the HSIWES+ Referral Marketing Program (HRMP).<br \/>\n2. The HSIWES+ Referral affirms understanding and agreement to privacy policies.<br \/>\n3. &#8220;HSIWES+ Referral&#8221; refers to the applicant,<br \/>\n4. www.hiiplc.com is owned by HiiT PLC.<br \/>\n5. &#8220;Merchandise&#8221; encompasses products offered by the Owner.<br \/>\n <br \/>\n1. HSIWES+ REFERRAL MARKETING PROGRAM REGISTRATION<br \/>\nTo register, the HSIWES+ Referral must complete and submit the HSIWES+ Referral Program Application Form available on the Owner\u2019s website.<br \/>\n <br \/>\n2. APPROVAL OR REJECTION OF HSIWES+ REFERRAL APPLICATION<br \/>\nThe Owner reserves the right to accept or reject applications at its discretion, with no legal recourse for rejection.<br \/>\n <br \/>\n3. REASONS FOR REJECTION<br \/>\nRejection may occur for incomplete applications, inappropriate content, or violations of intellectual property rights.<br \/>\n4. Disqualified Persons<br \/>\nEmployees of HiiT PLC &#038; its subsidiaries are prohibited from the program.<br \/>\n <br \/>\n5. TERMINATION AFTER ACCEPTANCE<br \/>\nThe Owner retains the right to terminate HSIWES+ Referral status for any reason, even post-acceptance.<br \/>\n5. FINANCIAL RESPONSIBILITIES<br \/>\nThe HSIWES+ Referral is responsible for all costs associated with maintaining and marketing the program.<br \/>\n <br \/>\n6. NO REPRESENTATIONS REGARDING INCOME POTENTIAL<br \/>\nThe Owner disclaims making income representations, emphasizing the HSIWES+ Referral&#8217;s responsibility.<br \/>\n <br \/>\n7. RESPONSIBILITY TO LINK TO THE OWNER\u2019S SITE<br \/>\n(a) The HSIWES+ Referral must place links on their channels to the Owner\u2019s site.<br \/>\n(b) The Owner provides various links and materials for promotional use.<br \/>\n(c) Links must not be modified without approval.<br \/>\n(d) The Owner monitors compliance.<br \/>\n(e) Information on traffic from HSIWES+ Referral\u2019s Channels may be shared.<br \/>\n <br \/>\n8. ANTI-SPAM POLICY<br \/>\nThe Owner strictly prohibits Unsolicited Commercial Email (UCE) or SPAM campaigns, with penalties outlined for violations.<br \/>\n <br \/>\n9. CUSTOMER SERVICE<br \/>\n(a) The Owner handles customer inquiries, orders, billing, and shipment related to the HSIWES+ Referral\u2019s Channels.<br \/>\n(b) The Owner is not responsible for unassigned sales due to improper link formatting.<br \/>\n <br \/>\n10. COMPENSATION<br \/>\n <br \/>\n(a) The HSIWES+ Referral is entitled to 10% Commission on sales.<br \/>\n(b) Payment will be made at the end of every week for sales up to the minimum commission amount.<br \/>\n(c) Commissions are based on sales through the HSIWES+ Referral\u2019s Channels.<br \/>\n(d) Commissions is paid upon collection of payment by the Owner.<br \/>\n(e) Minimum commission payment is N10,000.<br \/>\n <br \/>\n11. CUSTOMER\u2019S PROVENANCE<br \/>\nAll customers are considered Owner\u2019s customers, subject to Owner policies. The Owner may contact and market to these customers.<br \/>\n <br \/>\n12. TRADEMARKS AND COPYRIGHTS<br \/>\nThe HSIWES+ Referral has a limited license to use provided trademarks and copyrighted materials for promotional purposes.<br \/>\n <br \/>\n13. PRODUCT AVAILABILITY<br \/>\nThe Owner does not guarantee product availability or special prices.<br \/>\n <br \/>\n14. RESPONSIBILITIES<br \/>\nThe HSIWES+ Referral is responsible for their channels, ensuring no infringement or illegal content.<br \/>\n <br \/>\n15. REPRESENTATION AND WARRANTIES<br \/>\nThe HSIWES+ Referral represents having the authority to enter this Agreement, duly authorized by all necessary actions.<br \/>\n <br \/>\n16. TERMS<br \/>\nThe Agreement becomes effective upon acceptance of the HSIWES+ Referral Program Application.<br \/>\n <br \/>\n17. TERMINATION<br \/>\nTermination details are outlined, including forfeiture of past commissions for non-compliance.<br \/>\n <br \/>\n18. MODIFICATIONS<br \/>\nThe Owner reserves the right to modify terms and conditions, with 1 week notice provided to the HSIWES+ Referral.<br \/>\n <br \/>\n19. LIABILITIES<br \/>\nThe Owner disclaims warranties and limits liability for downtime, damages, or losses.<br \/>\n <br \/>\n20. CONFIDENTIALITY<br \/>\nThe HSIWES+ Referral agrees to keep confidential information about the Owner&#8217;s business.<br \/>\n <br \/>\n21. INDEMNIFICATION<br \/>\nThe HSIWES+ Referral indemnifies the Owner against claims arising from program participation.<br \/>\n <br \/>\n22. GOVERNING LAW<br \/>\nThis Agreement is governed by the laws of the Federal Republic of Nigeria.<br \/>\n <br \/>\n23. RELATIONSHIP OF THE PARTIES<br \/>\nThe parties are independent contractors, not forming any other relationship.<br \/>\n <br \/>\n24. NOTICES<br \/>\nNotices are communicated through certified mail or Email, with HSIWES+ Referral responsible for periodic checks.<br \/>\n <br \/>\n25. ASSIGNMENT<br \/>\nThe HSIWES+ Referral has no right to assign this Agreement.<br \/>\n <br \/>\n26.
